In a major development within India&rsquo;s beverage sector, Coca-Cola has sold a 40% stake in its Indian bottling arm, Hindustan Coca-Cola Beverages Pvt Ltd (HCCBL), to the Jubilant Bhartia Group for approximately ₹12,500 crore. This deal marks a significant step in Coca-Cola&rsquo;s ongoing efforts to adapt to changing market dynamics and reduce its exposure in bottling operations globally, adopting an asset-light business strategy.
Strategic Shift in Coca-Cola&rsquo;s India Operations
The transaction was formalized through an agreement between Coca-Cola and the Jubilant Bhartia Group, a diversified conglomerate with a global presence spanning multiple sectors. The move positions the Bhartia family as a key player in India&rsquo;s rapidly expanding beverage market, where Coca-Cola&rsquo;s bottling arm has a dominant position.

According to a joint statement from Coca-Cola, the investment reflects the company&rsquo;s goal to &ldquo;refresh the world and make a difference,&rdquo; with the Bhartia family&rsquo;s experience and expertise expected to drive further growth in India. The move is part of Coca-Cola's broader strategy of transitioning towards an asset-light model, similar to that of rival PepsiCo, which has shifted its bottling operations to Varun Beverages.
Investment Details and Financing Structure
The deal is valued at ₹12,500 crore, with the Bhartia family contributing ₹5,000 crore in equity. The remaining amount will be financed through a partnership with Goldman Sachs, which will fund the special purchase vehicle (SPV) created for the deal. The Bhartias also considered alternative financing options with firms like Bain Credit and Apollo Global Management but ultimately chose to partner with Goldman Sachs to avoid over-leveraging their conglomerate.
This acquisition positions Jubilant Bhartia Group as a dominant force in India&rsquo;s beverage industry, poised to further expand its footprint. The company&rsquo;s success in the food and beverage sector, particularly through its ownership of Jubilant FoodWorks, which operates Domino's Pizza in India, is expected to contribute to HCCB&rsquo;s future growth.
Coca-Cola&rsquo;s Asset-Light Strategy
Coca-Cola&rsquo;s decision to sell a portion of its bottling operations in India aligns with its global strategy of adopting an asset-light model. This strategy is focused on reducing direct involvement in manufacturing and distribution, instead outsourcing these functions to local partners. This allows Coca-Cola to focus on brand management, marketing, and innovation while leveraging local expertise for bottling and distribution.
The asset-light strategy mirrors PepsiCo's approach, which previously shifted its bottling operations to Varun Beverages. This restructuring has had a positive impact on the market value of Varun Beverages, which saw significant growth following the move.
Coca-Cola has been reducing its stake in bottling operations worldwide as part of its efforts to streamline operations and focus on high-value areas. HCCB's Financial Performance and Future Plans
Hindustan Coca-Cola Beverages has demonstrated impressive financial growth, reporting a 9.2% increase in revenue to ₹14,021 crore for FY24. In addition, its net profit surged by 247% year-on-year, reaching ₹2,808.3 crore. This growth highlights the expanding opportunities within India&rsquo;s beverage market and the potential for further success under new leadership.
To capitalize on this momentum, HCCB has announced plans to invest $1.5 billion over the next five years to expand its bottling capacities and develop new facilities in Gujarat and Madhya Pradesh. The company&rsquo;s expansion efforts include the establishment of a new ₹3,000 crore facility in Gujarat and a ₹350 crore plant in Madhya Pradesh, which will enhance its production capabilities and support its growing distribution network.
The Indian Beverage Market: A Growing Opportunity
India&rsquo;s beverage market has become highly competitive, with new entrants like Reliance Consumer Products Ltd making inroads with aggressive pricing and innovative product offerings. The revival of the Campa brand by Reliance has disrupted the market, challenging established players like Coca-Cola and PepsiCo.
Despite this, Coca-Cola&rsquo;s strong market presence and the recent investments in HCCB&rsquo;s infrastructure position the company well to maintain its leadership in the Indian market. With a low per capita consumption of packaged soft drinks, India presents significant growth opportunities for Coca-Cola in the coming years. Hindustan Coca-Cola Beverages, a leading FMCG manufacturing company and the bottling arm of Coca-Cola, is set to expand its workforce by hiring 800 individuals in the year 2024.&nbsp;
This announcement comes on the heels of the company's successful recruitment drive last year, which saw the addition of 700-800 employees. HCCB has also made significant progress in meeting its hiring targets for the current year.
With a current workforce of 6,000 full-time employees, HCCB has identified a 13% attrition rate within the organization. To address this, the company aims to bridge the gap by bringing in fresh talent from both internal and external sources.
Approximately half of the upcoming hires will be focused on shopfloor roles, primarily within supply chain and manufacturing facilities. Another substantial portion, around 40-45%, will be dedicated to commercial roles aimed at bolstering HCCB's market presence and promoting its products. The remaining positions will be allocated to supporting functions, including Finance, HR, and IT, among others.
Gaurav Sharma, Chief People Officer at Hindustan Coca-Cola Beverages told Moneycontrol, that the importance of a balanced approach to talent acquisition, with a 50-50 split between internal promotions and external hires. This strategy ensures a continuous influx of fresh perspectives and expertise into the organization, maintaining its vitality.
HCCB employs various hiring programs at different levels, catering to the diverse needs of its workforce. These programs encompass early career talent recruitment, targeting individuals for management roles, sales trainees, graduate engineering positions, and supply-chain operations trainees. Mid-level hiring is facilitated through search partners and the company's talent acquisition teams, with a strong focus on identifying individuals with the right mindset, diverse viewpoints, and leadership qualities.

Global soft drinks major Coca-Cola Company said its lemon and lime-flavoured soft drink Sprite has become a billion-dollar brand in the Indian market.
According to reports, the company has recorded a "strong" volume growth in its India business in the third quarter of 2022, helped by its sparkling soft drinks portfolio and fruit drink brand Maaza.
In the first half of 2022, Coca-Cola continued to strengthen as it gained share in sparkling offerings.
Earlier in January this year, Coca-Cola had said its Indian soft drink brand Thums Up had become a billion-dollar brand in 2021.
India is the fifth-largest market for Coca-Cola globally.
For the three months that ended September 30, 2022, overall, Coca-Cola Company's unit case volume grew by 4 per cent. Its developed markets grew in the mid-single digits while developing and emerging markets grew in low single digits.
"Growth in developed markets was led by Western Europe, Mexico and the United States, while growth in developing and emerging markets was led by India, China and Brazil," said an earnings statement from the Atlanta-headquartered firm.
Its sparkling soft drinks grew by 3 per cent, "primarily led by India, Mexico and China," it said.
Nutrition, juice, dairy and plant-based beverages also grew, led by Minute Maid Pulpy in China, Maaza in India and fairlife in the US market.
In the Asia Pacific market, which includes India, Coca-Cola's unit case volume expanded 9 per cent.
This was "driven by strong growth in India and China. Growth was led by sparkling soft drinks and hydration," said Coca-Cola.
